Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Noni mobile application and related services (the “Service”). By creating an account or using Noni, you agree to these Terms.

If you do not agree, do not use the Service.

1. The Service

Noni is a creator and brand workflow product that helps teams generate, assign, record, review, approve, publish, and track social content. Features may change over time.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use Noni, or have verifiable parental / guardian consent where required. By using Noni, you represent that you meet these requirements and can form a binding contract.

3. Accounts

You are responsible for:

  • Providing accurate account information
  • Keeping your login credentials secure
  • All activity under your account

    • You may sign in with email, Google, Apple, or other methods we make available. You must promptly notify us at founders@fieldvisionai.com if you suspect unauthorized access.

    We may suspend or terminate accounts that violate these Terms, appear fraudulent, create security risk, or harm the Service or other users.

    4. Roles and workspaces

    Noni may support different roles (for example, creator and admin) within a company or brand workspace. Admins may see creator submissions, profile details needed for operations, and workflow status. Creators may receive tasks, record or upload content, and view related performance or payout information made available in the product.

    You agree to use workspace data only for legitimate product use and not to misuse other users’ information.

    5. Content you submit

    You retain ownership of content you create. By submitting content to Noni, you grant FieldVision AI and the relevant brand / company workspace a worldwide, non-exclusive, royalty-free license to host, store, process, review, edit, adapt, schedule, publish, distribute, and otherwise use that content as needed to operate the Service and fulfill the applicable campaign or assignment.

    You represent and warrant that:

  • You own or have all rights needed to submit and license the content
  • Your content does not infringe anyone else’s rights
  • Your content complies with applicable laws and platform rules (including TikTok, Instagram, and similar services)
  • Your content is not unlawful, hateful, harassing, deceptive, or otherwise prohibited

    • We may remove content that violates these Terms or creates legal or safety risk.

    6. Posting to social platforms

    If content is posted to third-party platforms through Noni or our posting partners, you authorize that posting and related account connection. Those platforms’ terms also apply. We are not responsible for platform outages, policy enforcement, account restrictions, or changes made by those platforms.

    7. Acceptable use

    You agree not to:

  • Break the law or infringe others’ rights
  • Upload malware or attempt to disrupt or reverse engineer the Service
  • Scrape, spam, or abuse the Service
  • Impersonate others or misrepresent your affiliation
  • Bypass access controls or rate limits
  • Use the Service to create or distribute deceptive, harmful, or unauthorized content
  • Interfere with other users’ use of Noni

    • 8. Payouts and commercial terms

    Any creator compensation, payout timing, eligibility, or campaign economics are governed by the separate arrangement between you and the relevant brand / company (or a written agreement with FieldVision AI, if applicable). Noni may display estimates or balances for convenience; those figures are not a guarantee of payment unless confirmed in a binding agreement.

    9. Intellectual property

    Noni, including its software, design, trademarks, and branding, is owned by FieldVision AI or its licensors. Except for the limited rights granted to use the Service, no rights are transferred to you.

    10. Third-party services

    The Service depends on third parties (for example authentication providers, hosting, media processing, and posting partners). We are not responsible for third-party services we do not control.

    Google Sign-In and Sign in with Apple are subject to Google’s and Apple’s terms and policies, respectively.

    11. Privacy

    Our collection and use of personal information is described in our Privacy Policy. By using Noni, you also acknowledge that Privacy Policy.

    12. Disclaimers

    THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

    13. Limitation of liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIELDVISION AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

    OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM OR (B) USD $100.

    Some jurisdictions do not allow certain limitations; in those cases, the above limits apply to the fullest extent permitted.

    14. Indemnity

    You agree to defend, indemnify, and hold harmless FieldVision AI from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your content, your use of the Service, or your violation of these Terms or applicable law.

    15. Suspension and termination

    You may stop using Noni at any time. You may request account deletion by contacting founders@fieldvisionai.com.

    We may suspend or terminate access immediately if you violate these Terms or if we discontinue the Service. Sections that by nature should survive termination will survive (including ownership, licenses already exercised for published content, disclaimers, liability limits, and indemnity).

    16. Changes

    We may update these Terms from time to time. We will post the updated Terms with a new effective date. Continued use after changes become effective constitutes acceptance.

    17. Governing law

    These Terms are governed by the laws of the State of Florida, excluding conflict-of-law rules, unless mandatory local law provides otherwise. Courts located in Florida will have exclusive jurisdiction, except where prohibited.
